Payment terms, including invoicing schedules, due dates, accepted payment methods, and late payment penalties, are defined in the applicable service agreement. By entering into a service agreement, you agree to pay all fees in accordance with the terms specified therein.

All fees are quoted and payable in the currency specified in the service agreement. Fees are exclusive of applicable taxes, duties, and other governmental charges, which are the responsibility of the client unless otherwise stated. We reserve the right to modify our pricing for services at any time, provided that such modifications will not affect services already contracted under an existing agreement without the consent of both parties.

In the event of late payment, we reserve the right to suspend services until all outstanding amounts are paid in full, to charge interest on overdue amounts at the rate specified in the service agreement or the maximum rate permitted by applicable law, and to recover all reasonable costs of collection, including legal fees. All payment obligations are non-cancelable, and all fees paid are non-refundable except as otherwise provided in the service agreement.

Termination and Suspension

Disclaimer of Warranties

The United Nations Convention on Contracts for the International Sale of Goods shall not apply to these terms or any transaction conducted through our website or services.

Any legal suit, action, or proceeding arising out of or related to these Terms of Service or our website and services shall be instituted exclusively in the competent courts located in Sanya, Hainan Province, Peoples Republic of China. All claims and disputes within the scope of this arbitration agreement must be arbitrated on an individual basis and not on a class, collective, or representative basis. The arbitrator may award declaratory or injunctive relief only in favor of the individual party seeking relief and only to the extent necessary to provide relief warranted by that partys individual claim. Unless otherwise agreed by the parties, the arbitration shall be conducted in the English language.

Notwithstanding the foregoing, either party may seek interim, provisional, or conservatory relief from a court of competent jurisdiction, including temporary restraining orders and preliminary injunctions, for the protection of intellectual property rights or confidential information pending the outcome of arbitration. The seeking of such relief shall not be deemed a waiver of the right to compel arbitration.

Modifications to Terms

We reserve the right to modify or replace these Terms of Service at any time at our sole discretion. The failure of SeaDigit to exercise or enforce any right or provision of these Terms of Service shall not constitute a waiver of such right or provision. No waiver of any term or condition shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition.

Entire Agreement

These Terms of Service, together with our Privacy Policy and any service agreements, statements of work, or other written agreements executed between you and SeaDigit, constitute the sole and entire agreement between you and Sanya Jianghai Digital Technology Co., Ltd. with respect to the website and services and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, regarding the subject matter of these terms.

In the event of any conflict or inconsistency between these Terms of Service and the terms of a separately executed service agreement between you and SeaDigit, the terms of the service agreement shall prevail with respect to the specific services covered by that agreement.
